His corporate experience includes all aspects of business formation and governance, from start-ups to asset portfolios valued at over $500M. Keith’s estate planning experience includes asset protection and tax mitigation strategies, as well as planning through simple wills.

Keith represents individuals, small businesses and large companies in all aspects of personal and corporate planning, including tax planning and corporate structuring. His experience includes working with asset developers and asset managers at all stages in an asset’s life, from identification and due diligence of opportunities to acquisition or sale of stabilized assets. Keith was instrumental in the structuring, drafting, negotiating and closings of a portfolio of solar projects consisting of 150 MW of capacity.

Keith has considerable experience in private equity and venture capital, having structured and drafted offerings ranging from single-state equity offerings to international convertible debt offerings. Keith’s tax experience provides clients with additional value in the form of tax advantaged structuring and implementation of accounting best practices.

Keith has years of experience in the real estate industry extending back to when he worked at a regional law firm based out of Providence, RI, focusing his practice on private equity, tax equity, and real estate finance. During this time, he worked on structuring and closing private equity deals in excess of $100 million. He continued to develop his real estate practice while serving as In-house General Counsel of a regionally-recognized leader in solar photovoltaic project development, where he lead the legal department and oversaw the closings for a portfolio of projects receiving incentives under the SMART Program.
